Terms & Conditions.

(1) These General Terms and Conditions (GTC) apply to all contracts between

(hereinafter "Contractor") and its clients (hereinafter "Client").

(2) Deviating conditions of the Client shall not apply unless their validity is expressly agreed to in writing.

(1) The Contractor provides services in the following areas:

• Reputation management
• Analysis of online reviews
• Structured processing of complaints
• Communication support vis-à-vis platform operators
• Optimization of Google Business Profiles
• Strategic reputation building
• Provision of NFC/QR display stands
• CRM and marketing consulting

(2) The Contractor does not provide legal advice within the meaning of the German Legal Services Act (RDG). No legal representation is provided.

(3) Activities are limited to structured analysis, preparation, and procedural support.

(1) The Contractor reviews ratings for potential violations of:

• Google policies
• Platform policies
• Obvious factual claims without evidence
• Defamatory criticism
• Insults
• Missing business contact basis

(2) Only reviews that the Contractor deems potentially policy-violating after its own assessment will be processed.

(3) There is no entitlement to processing of every individual review.

(1) The Contractor does not owe any specific success.

(2) In particular, the following is not guaranteed:

• The removal of a review
• The blocking of a user account
• The permanent deletion of content

(3) Platform operators (e.g. Google) decide independently.

(4) Google may grant the author of a review several weeks to respond or reactivate. This is beyond the Contractor's sphere of influence.

The Client undertakes to:

• Provide truthful information
• Not demand inadmissible deletion requests
• Provide necessary evidence
• Provide access to the business profile (if required)

(1) Remuneration is based on the individually agreed offer.

(2) Unless otherwise agreed, this involves:

• Success-based remuneration
• Package prices
• Or individual services

(3) All prices are exclusive of statutory value-added tax.

(1) Invoices are due immediately without deduction.

(2) For success-based models, the entitlement to remuneration arises upon removal of the contested review.

(3) In case of default, the Contractor reserves the right to suspend services.

(1) The Contractor is only liable for intent or gross negligence.

(2) No liability exists for:

• Decisions by platform operators
• Economic consequential damages
• Revenue losses
• Reputational damages

(3) Liability is limited to the order value.

(1) NFC/QR display stands are provided including programming.

(2) The Contractor is not liable for:

• Technical limitations of individual devices
• Disabled NFC functions
• Changes to platform URLs
• Technical updates by Google

(3) A permanent functionality guarantee cannot be assumed.

(1) The duration is determined by the respective offer.

(2) Success-based individual case reviews end upon completion of the case.

(3) Ongoing consulting contracts may be terminated with 30 days' notice.

All information obtained in the course of the collaboration shall be treated confidentially.

The place of jurisdiction is, to the extent legally permissible, Offenbach am Main.

(1) Should any provision be invalid, the remainder of the contract shall remain in effect.

(2) German law applies.
